These additional terms of service are specific
to the Customer Acquisition components of the
Services (i.e., Cost-per-Lead advertising or co-registration)
and are part of the Topica
Terms of Service ("Agreement"). Your use of
the Services constitutes your acceptance of these
additional terms and the Agreement.
You acknowledge that our sole obligation is to
display your offer(s) ("offer") and to collect
data on your behalf in a manner that conforms
to the specifications as described on the relevant
section(s) of the Topica website. Specific positioning
of any offers will be solely determined by us.
In addition, we reserve the right to redesign
or modify the form or manner of the offer in our
sole discretion at any time and without prior
notice, provided however, that such modification
is not intended to materially impact the effectiveness
of any such offer.
You acknowledge that we have the right to market,
promote and display the offer through the Topica
website and/or our third party providers, and
users of our website and/or those of third party
providers have the right to access and use your
offer. You will be responsible for providing the
offer to us in accordance with our specifications
as described in the contract signed by you and
accepted by Topica. You acknowledge that we will
have no obligation to provide any creative, design,
technical or production services to you unless
otherwise agreed in writing by us. You agree the
offer shall not disparage Topica or be counter
to Topica's generally applicable advertising standards
and practices as we may modify from time to time.
In no event shall the offer imply that we endorse
it.
We reserve the right to cancel any offer or remove
at any time any offer, in whole or in part, for
any reason upon notice to you. In the event of
cancellation, you will only be responsible for
the pro-rata portion of any payment made or due
up to the effective date of the cancellation and/or
removal of your offer, in whole or in part. We
will not be liable in any way for any cancellation
or removal of any offer.
